Restructuring in the UAE, when your company changes.

We offer specialised corporate restructuring services in the UAE, from a move between free zones and the mainland to a clean transfer of shares.

The process

How it works

  1. STEP 1

We look at where you are

Your current license, shareholders and activities, and what the change must achieve.

  2. STEP 2

    We plan the route

Some changes are an amendment, others need a new license. We tell you which.

  3. STEP 3

    We file with the authority

Resolutions, notarised documents and the amended license, handled for you.

  4. STEP 4

    We update what follows

Bank, visas, tax records and compliance filings all follow the change.

Questions

What clients ask us

Can I move my company from a free zone to the mainland?

Yes. Some authorities allow a direct transfer, others require a new mainland license and a wind down of the old entity. Which route applies decides the timeline and what happens to your visas.

What happens to visas when the structure changes?

Visas are tied to the license, so a change of entity usually means they are cancelled and reissued. We plan the sequence so nobody loses residence in between.

How are shares transferred?

Through a share purchase agreement and a notarised resolution, filed with the authority that issued your license. The register is only updated once the authority approves it.

Do I have to tell the tax authority?

Yes. Changes to shareholders, activity or license normally have to be reflected in your corporate tax and VAT records, and in your UBO filing.
